Summary:

  • Sembcorp Industries will acquire Alinta Energy’s parent entities for an enterprise value of A$6.5 billion, with an estimated cash purchase price of about A$5.6 billion funded via bridge and working capital facilities.

  • The deal secures a 3.4GW fleet of coal, gas, wind and solar assets plus a 10.4GW renewables and firming development pipeline, giving Sembcorp a scalable platform in Australia’s AAA-rated market.

  • Pro forma earnings per share are projected to rise 9% for FY2024 and 14% for the 12 months to June 2025, with return on equity lifting to more than 22% in both periods.

  • Sembcorp’s portfolio emissions and intensity will increase in the near term, meaning its 2028 intensity and 2030 absolute emissions targets will be missed, but it is resetting to a 2035 intensity goal of 0.26 tCO₂e/MWh while retaining a 2050 net-zero ambition.

  • Completion is targeted for the first half of 2026, subject to shareholder approval and Australian regulatory clearances, including from the Foreign Investment Review Board and the competition watchdog.
