Mewah International has signed a share sale and purchase agreement to acquire 100% of PT Paluta Inti Sawit, an Indonesian palm oil company, on 16 December 2025.

The gross consideration is IDR 123.0 billion (about US$7.4 million), with a net purchase price of IDR 68.7 billion (about US$4.1 million) after deducting assumed liabilities, funded via internal accruals.

PTPIS will become an indirect wholly owned subsidiary, with the acquired shares’ net asset value of about IDR 128.5 billion (US$7.7 million), and purchase price allocation to goodwill and intangibles to be finalised within 12 months.

The deal is not expected to materially impact the group’s current-year consolidated net tangible assets or earnings per share, and no directors or substantial shareholders have interests in the transaction.
